3. Client Responsibilities
To complete work efficiently, the client agrees to provide the information, access, approvals, feedback, and materials reasonably required for the project.
This may include website access, hosting access, analytics access, ad account access, CRM or software credentials, brand assets, copy, legal information, and timely communication.
StartDigital is not responsible for delays caused by missing information, slow approvals, or third-party access issues.
4. Quotes, Proposals, and Acceptance
Quotes and proposals are valid for a limited time unless otherwise stated. A project or service is considered accepted once the client confirms in writing, pays an invoice, or asks StartDigital to begin work.
StartDigital may refuse or discontinue projects that are outside scope, not technically feasible, or not aligned with our working process.
5. Fees and Payments
All fees are stated in the agreed proposal, invoice, or service offer.
Unless otherwise agreed:
- Invoices must be paid by the stated due date,
- work may begin only after the required upfront payment is received,
- Late payments may delay delivery,
- Completed work, strategy, and deliverables may be withheld until outstanding invoices are paid.
All prices are exclusive of taxes unless stated otherwise.
6. Revisions and Scope Changes
Reasonable revisions are included only when they are part of the agreed scope.
Any work requested outside the original scope may require a new quote, updated timeline, or additional invoice. This includes extra pages, extra integrations, new strategy work, substantial copy changes, design changes, or new automation requirements.
7. Timelines and Delivery
Any delivery timeline provided by StartDigital is an estimate unless explicitly guaranteed in writing.
Project timelines depend on client response speed, technical complexity, third-party systems, and the availability of required materials. StartDigital is not liable for delays caused by hosting providers, software tools, platform limitations, or external service outages.
8. Third-Party Tools and Platforms
StartDigital may recommend or implement third-party tools, plugins, software, AI tools, hosting services, analytics platforms, CRMs, booking systems, or communication tools.
The client is responsible for reviewing and accepting the terms, privacy policies, pricing, and compliance obligations of those third-party services. StartDigital is not responsible for downtime, policy changes, data loss, pricing changes, account restrictions, or performance issues caused by third-party platforms.
9. Intellectual Property
Unless otherwise agreed in writing:
- The client owns the final paid deliverables created specifically for them,
- StartDigital retains ownership of its internal methods, frameworks, templates, systems, processes, prompts, know-how, and reusable assets,
- Any third-party assets remain subject to their original license terms.
StartDigital may display completed work in its portfolio, case studies, media kit, or marketing materials unless the client has requested confidentiality in writing.
10. Digital Products and Educational Materials
Any digital products, templates, guides, or educational resources sold by StartDigital are licensed for the intended buyer’s own use unless otherwise stated.
They may not be copied, resold, redistributed, republished, or shared commercially without written permission.
11. Results Disclaimer
StartDigital provides strategy, implementation, and advisory support designed to improve websites, lead handling, conversion systems, communication flows, and operational efficiency.
However, we do not guarantee specific business outcomes such as rankings, traffic, leads, bookings, sales, revenue, or platform approval. Results depend on many factors outside our control, including market conditions, offer quality, internal sales process, budget, timing, traffic quality, and third-party platform performance.
12. Confidentiality
Both StartDigital and the client agree to keep confidential information private and not disclose it to third parties, except where necessary for project delivery or where disclosure is required by law.
13. Termination
Either party may end a project or service arrangement in writing.
In such cases, the client remains responsible for all work completed, time reserved, and expenses incurred up to the termination date. Any prepaid retainers or deposits are subject to the agreed terms and may be non-refundable once work has started.
14. Limitation of Liability
To the maximum extent permitted by law, StartDigital is not liable for any indirect, incidental, special, or consequential damages, including lost profits, lost data, lost business opportunities, or platform/account issues.
Our total liability relating to any service or product is limited to the amount paid to StartDigital for the relevant work.
15. Changes to These Terms
StartDigital may update these Terms of Service from time to time. The latest version will always be published on this page.
